Regulator suspends Philand permit

THE Securities and Exchange Commission (SEC) has suspended the permit of a property developer to sell securities because it failed to submit reportorial requirements.

In an order posted on its website, the SEC suspended Philand Properties Inc. for failure to submit its Amended Registration Statement/Prospectus reflecting its updated work program and project timetable in view of its delayed development works.

“As such, the Prospectus appears to contain false/misleading representation of material facts concerning the company as issuer and its securities which constitutes a ground for the suspension of the company’s registration and Permit to Sell Securities to the Public,” the regulator said.

The suspension will be effective once the company receives the order and will last for 60 days or until it completes the submission of an updated Amended Registration Statement in compliance with the Securities Regulation Code and its implementing rules.
Philand is prohibited from selling or offering for sale its securities to the public until the order is lifted or set aside by the SEC.

Failure of the company to comply with this order within the prescribed 60-day period will prompt the SEC to immediately initiate proceedings for the revocation of its registration and permit to sell securities.

The corporate regulator recently suspended the certificate of registration of a club owned by Filinvest Land Inc. for the late submission of reportorial requirements.
